RAFTPICS INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement is entered into between RaftPics, LLC ("Company") and the contractor identified in the information provided above.

1. Services

Contractor agrees to provide photography, guest interaction, photo organization, sales support, and related services as requested by RaftPics during the 2026 rafting season.

Services may include:

Taking photographs of rafting guests
Group and portrait photography
Organizing and sorting image files
Assisting guests in viewing and purchasing photos
Transporting equipment
Other photography-related tasks reasonably requested by RaftPics

Contractor retains the right to accept or decline work assignments.

2. Independent Contractor Status

Contractor is an independent contractor and not an employee of RaftPics.

Nothing in this Agreement shall be interpreted as creating an employer-employee relationship, partnership, or joint venture.

Contractor is responsible for:

Federal taxes
State taxes
Self-employment taxes
Any required licenses or permits

RaftPics will not withhold taxes from payments made to Contractor.

3. Compensation

Compensation shall be determined separately by mutual agreement.

Work assignments may vary depending on weather, river conditions, customer demand, and operational needs.

No minimum number of workdays or earnings is guaranteed.

Any agreed equipment stipend for use of personal vehicle, camera, laptop, or other equipment shall be paid separately as determined by RaftPics.

4. Equipment

RaftPics may provide cameras, memory cards, laptops, radios, and other equipment for Contractor's use.

Contractor agrees to exercise reasonable care when using company equipment.

Contractor is responsible for promptly reporting damaged, lost, or malfunctioning equipment.

5. Ownership of Images

All photographs, image files, video files, edits, derivative works, and related content created while performing services for RaftPics shall be considered Work Made For Hire.

To the extent any work is not considered Work Made For Hire, Contractor hereby assigns all rights, title, and interest in such work to RaftPics, LLC.

RaftPics shall own all copyrights and commercial rights associated with images created while working for RaftPics.

Contractor may use selected images for personal portfolio purposes only with prior permission from RaftPics.

Contractor may not sell, license, distribute, or otherwise commercially use any images created for RaftPics.

6. Confidential Information

Contractor agrees not to share:

Customer information
Sales information
Pricing information
Business procedures
Marketing plans
Internal operations information

without prior authorization from RaftPics.

7. Safety

Contractor agrees to use reasonable care and follow safety instructions while working around:

Rivers
Roads
Vehicles
Customers
Photography equipment

Contractor understands outdoor work may involve uneven terrain, weather exposure, wildlife, and other inherent risks.

8. Term

This Agreement shall remain in effect until terminated by either party.

Either party may terminate this Agreement at any time for any reason.

Contractor will be paid for all approved work completed prior to termination.

Payment cannot be issued until a completed W-9 has been received.

Direct Deposit

Following submission of your W-9 and signed agreement, Grasshopper Bank will send you an email invitation to set up direct deposit.

We will provide a verification passcode separately.

Contractors are typically paid weekly. Payments are generally initiated on Mondays and usually arrive by Thursday, though timing may vary depending on bank processing.
